Organizer Terms & Conditions

These Terms & Conditions ("Agreement") form a binding legal contract between LipaTix ("Platform", "we", "us", "our") and you ("Organizer", "you", "your") when you create, list, or manage events through our ticketing services. By using our platform, you acknowledge that you have read, understood, and agree to be bound by these terms.

1. Introduction & Scope

This Agreement governs your access to and use of LipaTix's event management tools, ticketing infrastructure, payment processing, and related services (collectively, the "Services"). These terms apply to all events listed on LipaTix, including free and paid events. By registering as an organizer or publishing an event, you enter into this Agreement with LipaTix.

We reserve the right to update these terms at any time. Material changes will be communicated via email or dashboard notification at least 14 days in advance. Continued use of the Services after changes take effect constitutes your acceptance of the modified terms.

2. Organizer Responsibilities & Obligations

As an Organizer, you bear sole responsibility for the planning, promotion, execution, and overall success of your event. You expressly agree to:

  • Accuracy of Information: Provide complete, truthful, and non-misleading details about your event, including date, time, venue, description, ticket types, pricing, and refund policy. Any material changes to event details must be updated promptly and communicated to ticket buyers.
  • Legal Compliance: Ensure your event and its operation comply with all applicable Kenyan laws, including but not limited to licensing requirements, public safety regulations, tax obligations, and any venue-specific rules.
  • Attendee Support: Serve as the primary point of contact for attendees regarding event content, accessibility, changes, cancellations, and on-the-day issues. You must respond to inquiries in a timely and professional manner.
  • Prohibited Content: You may not list events that promote illegal activities, hate speech, violence, discrimination, harassment, fraud, or unauthorized resale of tickets (scalping). Events involving adult content, gambling, or high-risk activities require prior written approval.
3. Event Approval & Listing Standards

All events submitted to LipaTix are subject to review and may be approved, rejected, or removed at our sole discretion. Approval criteria include:

  • Completeness and accuracy of event details
  • Compliance with our prohibited events policy
  • Absence of past violations, fraud, or unresolved disputes associated with your account

We reserve the right to suspend or remove any event that, in our judgment, poses reputational, legal, or operational risk to the platform, attendees, or third parties. Repeat violations may result in permanent account termination.

4. Ticket Sales, Commission & Payouts

Commission Structure: LipaTix charges a 10% commission fee on every paid ticket sold through the platform. This fee is automatically deducted at the time of sale. The commission is non-refundable except in cases of proven platform error.

Payout Schedule: Net proceeds (90% of ticket revenue minus any applicable refunds or chargebacks) will be disbursed to your designated payout account within 24 hours after the event end date, provided that:

  • Your account is in good standing with no active holds or disputes
  • You have provided valid payout details (M-Pesa number or bank account)
  • No fraud indicators or chargeback risks are detected

Payout Methods: For collections below KES 100,000, payouts are typically processed via M-Pesa. For collections of KES 100,000 or above, we strongly recommend bank transfer for enhanced security and traceability. You are responsible for providing accurate payout information; LipaTix is not liable for misdirected payments due to incorrect details provided by you.

5. Refunds & Event Cancellation

Organizer Refund Policy: You must clearly state your refund policy on the event page before ticket sales begin. Common policies include "No Refunds," "Refunds up to 7 days before event," or "Full refund if event is canceled."

Event Cancellation by Organizer: If you cancel an event, you must:

  • Formally notify LipaTix support and approve cancellation via your dashboard
  • Provide a clear explanation to attendees
  • Authorize full refunds to all ticket buyers (LipaTix will process refunds, deducting from your pending payout or, if necessary, invoicing you for the refund amount)

Platform-Initiated Cancellation: We reserve the right to cancel events and issue refunds to attendees if we determine that an event violates our terms, is fraudulent, or presents safety concerns. In such cases, we may withhold your payout pending investigation.

6. Fraud Prevention & Fund Holds

To maintain the integrity of the platform and protect attendees, LipaTix employs automated and manual fraud detection measures. We may temporarily place a hold on payouts if we detect:

  • Unusual sales velocity inconsistent with your event size or history
  • Multiple chargebacks or payment disputes from buyers
  • Suspected use of stolen payment methods
  • Misrepresentation of event details or false promotional claims

During a hold, we will notify you and request additional documentation (such as proof of event, venue contract, or identity verification) to verify legitimacy. Funds will be released upon satisfactory resolution. In confirmed cases of fraud, we may permanently withhold funds, terminate your account, and report the activity to relevant authorities.

7. Prohibited Events & Activities

The following types of events are strictly prohibited on LipaTix:

  • Illegal gatherings, unlicensed gambling, or activities requiring permits not obtained
  • Events that promote violence, hate speech, terrorism, or discrimination
  • Pyramid schemes, multi-level marketing recruitment events, or get-rich-quick seminars
  • Counterfeit goods, unauthorized merchandise sales, or intellectual property infringement
  • Any event that violates Kenyan consumer protection laws

Violation of this section will result in immediate account suspension and forfeiture of any unpaid balances.

8. Platform Rights & Service Modifications

LipaTix retains the right to:

  • Suspend or terminate any organizer account at any time for violation of these terms
  • Remove event listings that we deem inappropriate, misleading, or non-compliant
  • Modify platform features, user interface, or pricing structure with reasonable advance notice
  • Refuse service to anyone for any reason at our discretion

We are committed to providing reliable ticketing infrastructure but do not guarantee uninterrupted service; we shall not be liable for temporary outages or scheduled maintenance.

9. Limitation of Liability & Indemnification

Platform Role: LipaTix is a technology intermediary. We do not organize, host, or control events. We are not a party to any contract between you and attendees beyond facilitating ticket sales and payments.

Indemnification: You agree to indemnify, defend, and hold harmless LipaTix, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your event, including any injuries, property damage, or disputes with attendees
  • Your breach of this Agreement or violation of any law
  • Your use of attendee data in violation of privacy laws

Liability Cap: To the maximum extent permitted by law, LipaTix's total liability for any claim arising from these terms or your use of the Services shall not exceed the total commission fees paid by you to LipaTix in the 12 months preceding the claim.

10. Data Usage & Privacy

As an Organizer, you may have access to attendee information including names, email addresses, and ticket details. This data is provided solely for event-related communication and fulfillment. You are strictly prohibited from:

  • Selling, renting, or sharing attendee data with third parties for marketing purposes
  • Using attendee data for any purpose outside the scope of the event
  • Violating the Kenyan Data Protection Act or any applicable privacy laws

11. Dispute Resolution

Disputes between organizers and attendees (e.g., regarding ticket validity, entry denial, or refund requests) should be resolved directly between the parties. LipaTix may, at its discretion, assist in facilitating communication but is not obligated to mediate or adjudicate such disputes.

If a dispute arises between you and LipaTix, we encourage you to first contact our support team at info@lipatix.com. If the dispute cannot be resolved informally, either party may pursue resolution through binding arbitration in accordance with Kenyan law, with arbitration to take place in Nairobi.

12. Modifications to Terms

We reserve the right to update these Terms & Conditions at any time. When we make material changes, we will notify you via email (using the address associated with your account) and through a prominent notice on your dashboard. Changes become effective 14 days after notification for existing events; new events created after the effective date will be subject to the updated terms.
